Director, Legal Affairs, Compliance & Corporate Governance

The Director, Legal Affairs, Compliance & Corporate Governance serves as the principal legal adviser to Nicok Integrated Solutions Ltd. The role provides strategic leadership in legal affairs, regulatory compliance, corporate governance, enterprise risk management, and corporate secretarial functions. The position safeguards the organization’s legal interests while supporting sustainable business growth, operational excellence, and regulatory integrity across all business units.

Core Responsibilities:

Legal Advisory & Corporate Counsel

  • Serve as the principal legal adviser to the Board of Directors, Executive Management, and business units.
  • Provide strategic legal guidance on commercial transactions, investments, partnerships, procurement activities, employment matters, and corporate initiatives.
  • Draft, negotiate, review, and manage contracts, memoranda of understanding, service agreements, partnership agreements, and other corporate legal instruments.
  • Provide legal opinions and recommendations on matters affecting business operations.

Corporate Governance & Board Affairs

  • Act as Corporate Secretary to the Board of Directors.
  • Coordinate Board meetings, Annual General Meetings, and special meetings.
  • Prepare agendas, board papers, resolutions, minutes, and governance reports.
  • Ensure compliance with corporate governance policies and regulatory requirements.
  • Maintain statutory registers, corporate records, and governance documentation.

Compliance & Regulatory Affairs

  • Develop and implement corporate compliance programs.
  • Monitor compliance with applicable laws, regulations, industry standards, and internal policies.
  • Liaise with government agencies, regulators, professional bodies, and licensing authorities.
  • Lead regulatory filings, renewals, registrations, and statutory reporting requirements.

Risk Management & Legal Protection

  • Identify legal, regulatory, contractual, and operational risks.
  • Develop risk mitigation strategies and compliance controls.
  • Manage litigation, dispute resolution, arbitration, and mediation processes.
  • Coordinate external legal counsel when required.

Corporate Development Support

  • Support mergers, acquisitions, joint ventures, strategic partnerships, and investment transactions.
  • Protect company intellectual property, trademarks, copyrights, and proprietary assets.
  • Provide legal support for new business ventures, digital platforms, and international operations.

Policy Development:

  • Develop and review corporate policies, governance frameworks, codes of conduct, and compliance manuals.
  • Lead ethics and integrity initiatives throughout the organization.

Leadership Responsibilities:

  • Provide leadership and oversight for legal and compliance functions.
  • Develop legal risk awareness programs for management and staff.
  • Support executive decision-making through strategic legal insight.

Qualifications:

Mandatory

  • Bachelor of Laws (LL.B)
  • Barrister-at-Law (B.L.) and active legal practicing license.
  • Minimum 5–10 years post-call experience in corporate, commercial, regulatory, or business law.
  • Demonstrated experience in corporate governance and company secretarial practice.

Preferred

  • Chartered Secretary qualification.
  • Compliance certification.
  • Master’s Degree in Law (LL.M.), Business Administration (MBA), or Corporate Governance.
  • Experience supporting multi-sector organizations.
